Bredin Prat is assisting Impala and Neoen in connection with Impala and other minority shareholders of Neoen entering into exclusive negotiations with a view to the sale of a majority stake in Neoen, the leading French independent producer of exclusively renewable energy with operations in 16 countries, to a consortium led by Brookfield.

The consortium led by Brookfield would acquire approximately 53% of the share capital of Neoen and, subject to closing of the block acquisition, would file a mandatory simplified tender offer for all of the outstanding Neoen shares.

The price per Neoen share proposed by Brookfield is €39.85 (ex-dividend), implying an equity value for 100% of Neoen’s capital of approximately €6.1 billion.

Acquisition of approximately 53% of Neoen’s share capital remains subject to obtaining customary regulatory approvals as regards merger control and FDI supervision.
